These General Licensing Terms (“GLT”) describe standard technical, operational, and usage rules applicable to the Software.
The GLT are published on this website to support secure, lawful, and consistent use of the Software by all end users, regardless of whether the Software is licensed directly by the Vendor or through an authorised distributor.
For the purposes of these GLT, references to the Vendor include any authorised distributor acting as licensor under an applicable licence agreement.
The Software is deployed and operated by the End User in its own environment unless expressly stated otherwise in the applicable licence agreement.
Scope of Application
These GLT apply to any person or entity (“End User”) that installs, operates, accesses, or otherwise uses the Software, whether the Software is licensed directly by the Vendor or by an authorised distributor.
The GLT apply irrespective of the form of activation, including access credentials, activation keys, licence records, or other technical activation mechanisms.
Relationship to Licence Agreement
The use of the Software is governed by an applicable licence agreement concluded between the End User and the relevant licensor.
These GLT do not constitute a licence agreement and do not modify, replace, or override any licence agreement. In the event of any inconsistency, the applicable licence agreement shall prevail.
Permitted Use
The End User may use the Software solely in accordance with the applicable licence agreement and these GLT, and only for lawful purposes.
The Software may be used only within the scope, duration, and parameters defined by the applicable licence agreement and the corresponding technical activation mechanism.
Prohibited Use
The End User shall not, and shall not permit any third party to:
use the Software outside the scope of the applicable licence agreement;
reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Software, except to the extent expressly permitted by mandatory law;
modify, adapt, translate, or create derivative works of the Software;
circumvent or attempt to circumvent any technical limitations, security measures, or activation mechanisms;
use the Software in a manner that is unlawful, harmful, or infringes the rights of third parties;
resell, sublicense, lease, or otherwise make the Software available to third parties, except as expressly permitted under the applicable licence agreement.
Authorised Users
Access to the Software may be limited to authorised users as defined in the applicable licence agreement or enforced through technical means.
The End User is responsible for ensuring that only authorised users access and use the Software.
Security and Access Credentials
The End User shall take reasonable measures to protect access credentials, activation keys, and other security mechanisms related to the Software.
The End User shall promptly notify the licensor or the Vendor, as applicable, of any unauthorised access or security incident related to the Software.
Updates
The Software may be updated from time to time to correct errors, improve performance, or enhance security.
Any Updates are provided at the discretion of the Vendor or the relevant licensor and do not constitute maintenance or support services. Unless expressly agreed otherwise in writing, Updates do not extend the duration of the applicable licence.
Updates are made available for installation and deployment by the End User.
Upgrades
The Software may be made available in new versions or releases that introduce new or materially changed functionality.
Access to any Upgrades may require a separate licence, acceptance of additional terms, or payment of additional fees, as determined by the Vendor or the relevant licensor.
Technical Changes and Compatibility
The Software may be modified, updated, or changed for technical, security, or operational reasons.
The Vendor does not guarantee that the Software, including any Updates or Upgrades, will be compatible with all third-party software, hardware, systems, or configurations.
Availability and Operation
The operation and availability of the Software depend on the End User’s technical environment, infrastructure, and configurations.
The Vendor does not control and does not guarantee the availability, performance, or uninterrupted operation of the Software when deployed in the End User’s environment.
Technical Requirements
The End User is responsible for ensuring that its systems, environment, and configurations meet the technical requirements necessary to use the Software.
The Vendor may publish technical documentation or minimum requirements for the Software. Failure to meet such requirements may result in limited functionality or inability to use the Software.
The End User is solely responsible for the installation, configuration, operation, and maintenance of the Software in its environment.
Data Processing
The Software may process data entered, uploaded, or generated by the End User in the course of using the Software.
The End User is responsible for ensuring that it has all necessary rights and permissions to use and process such data through the Software.
Logs and Monitoring
The Software may generate technical logs and usage data necessary for security, troubleshooting, performance monitoring, and compliance with technical requirements.
Such logs and usage data are generated within the Software and may be used locally by the End User for technical, security, and operational purposes.
Data Backup
Unless expressly agreed otherwise in writing, the Vendor does not provide data backup or data recovery services.
The End User is responsible for maintaining appropriate backups of its data.
No Services or Support
These GLT govern only the rules for using the Software.
Unless expressly agreed otherwise in writing in a separate agreement, the Vendor does not provide support services, maintenance services, service levels, or any other services to the End User under these GLT.
No Warranty
For the purposes of these GLT only, the Software is provided “as is” and “as available”.
To the maximum extent permitted by applicable law, the Vendor makes no warranties of any kind under these GLT, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
The Vendor makes no warranty regarding the suitability of the Software for the End User’s specific hardware, operating system, or network environment.
Limitation of GLT Effect
These GLT do not limit, exclude, or modify any rights or obligations expressly set out in the applicable licence agreement or required by mandatory law.
Changes to GLT
The Vendor may update or modify these GLT from time to time to reflect technical, operational, legal, or security developments.
The version of the GLT published on the Vendor’s official website at the time of use of the Software applies to such use.
Severability
If any provision of these GLT is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
Failure to enforce any provision of these GLT shall not constitute a waiver of such provision.
